A minimum of 2 directors is required for a Section 8 company if it is registered as a private limited company. For incorporation as a public limited company, at least 3 directors are needed. One director must be a resident of India. The company must have a registered office address. According to the Companies Act 2013, you must submit valid identity and address proof through the Ministry of Corporate Affairs (MCA) portal for registering a Section 8 company.

  • Copy of Driving License or Voter ID

Step 1: Obtain Digital Signature Certificate

When incorporating a Section 8 Company, it is essential for both directors and subscribers of the company's memorandum to acquire a Digital Signature Certificate (DSC) from authorized agencies. Getting a DSC is a quick online process that can be completed within 24 hours, involving three simple verifications: document, video, and phone verification.


Step 2. Apply for Name Availability

The name application for a Section 8 Company can be submitted through the SPICe RUN form, which is part of the SPICe+ form. When making the name application, the industrial activity code and the object clause of the company need to be defined.

Step 3. Apply for Section 8 License

To obtain the license for a Section 8 Company, Form INC-12 must be filed with the Registrar of Companies. Before issuing the Certificate of Incorporation for a Section 8 company, an approval letter under Section 8 of Part 1, i.e., License under Section(1) of the Companies Act, 2013 is issued by the Ministry of Corporate Affairs.
